HoneyBook Breakthrough Grant Program - Official Rules
Important: Please read these Official Rules before applying to this Grant Program (the “Program”). By applying to the Program, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.
NO PURCHASE IS NECESSARY TO APPLY TO THIS PROGRAM.
Program void where prohibited. Subject to applicable federal, state/provincial/territorial, and local laws.
1. Eligibility
The Program is open only to applicants who meet all the following qualifications:
- Be (i) a business entity formed under the laws of one of the 50 United States, the District of Columbia, or Canada (excluding Quebec) and have a legal representative who is at least 18 years old (or the age of majority in their jurisdiction of residence, whichever is older); or (ii) a sole proprietor who resides in one of the 50 United States, the District of Columbia, or Canada (excluding Quebec) and is at least 18 years old (or the age of majority in their jurisdiction of residence, whichever is older);
- If a business entity, have no more than three full-time employees;
- Have a digital presence (e.g., active social media page for the business, business website, etc.);
- Not be an existing HoneyBook subscriber (except for those who are within their 60 day money-back guarantee period during the Program Period);
- Only open to business types that are selling their skills and expertise as a consultative service with a revenue of under $100,000, and would not be open to e-commerce service providers.
Any businesses owned by or individuals who are directors, officers, members, managers, and employees of HoneyBook, Inc. (“HoneyBook” or “Sponsor”); and any of their respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfillment agencies, consultants, legal counsel, website providers, web masters, and immediate family members (spouse, parent, child, sibling, grandparent, and “step” child, wherever they may live) of each are not eligible to receive a grant. IF YOU DO NOT MEET ANY OF THESE REQUIREMENTS, OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, YOU ARE NOT ELIGIBLE TO RECEIVE A GRANT. To be eligible to receive a grant, Submissions (as defined below) must be completed and received by Sponsor in the manner and format designated below and otherwise comply with these Official Rules.
2. Program Period
The Program starts at 12:00:01 a.m. Pacific Time on June 18, 2024, and ends at 11:59:59 p.m. Pacific Time on July 16, 2024 (the “Program Period”). Sponsor’s or its designee’s computer is the official time-keeping device for the Program. All Submissions must be received during the Program Period and meet other requirements in these Official Rules for you to be eligible to receive a grant. Proof of submission does not constitute proof of receipt by Sponsor.
3. How to Apply
To apply, complete the following steps during the Program Period:
- Go to www.honeybook.com/lp/breakthrough-grant
- Follow the instructions on the initial application form to register your interest in the Program, including providing the following information:
- Your name (or representative’s name if the applicant is a business entity);
- Email address; and
- The industry of your business.
- Sponsor will contact you by email with instructions on how to complete your Submission with details of your business, which will include providing information on the following (which may be by video submission if so instructed):
- Evidence of your digital presence (link to website, social media, marketplace, etc.);
- A description of your business including what services you are selling;
- A description of what you have done to start your business. For example, have you registered as an LLC or enrolled in a business course?;
- A description of your business story, given in text or video format.
- A description of the resources that would best support your growth as a new business, including how the grant would impact your goals;
- A description of how you like to learn; and
- Additional information requested in the instructions.
By submitting an application as instructed above (“Submission”), you agree that your Submission conforms to the Guidelines and Restrictions below. Sponsor may choose to disqualify you from the Program if it believes that your Submission fails to conform with the Guidelines and Restrictions.
Limit: EACH PERSON MAY ONLY APPLY ONCE DURING PROGRAM PERIOD IN CONNECTION WITH THEIR BUSINESS ENTITY. Any attempt to apply with multiple Submissions, including through multiple or duplicate accounts or as both an individual and in connection with a business entity may result in disqualification.
Submission Guidelines and Restrictions
- Your Submission must not include or refer to untruthful, incomplete, inaccurate, or misleading information.
- Your Submission must be your original creation and owned 100% by you, or, alternatively, you must have the full rights to grant the license and other rights that you grant to Sponsor in Section 10 below.
- Your Submission must not (in Sponsor’s discretion): (i) violate any third-party rights, including copyrights, trademark rights, or rights of privacy and publicity; (ii) contain disparaging or defamatory statements; (iii) include threats to any person, place, business, or group; (iv) be obscene, offensive, or indecent; (v) depict any risky behavior; (vi) contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; or (vii) contain unauthorized third-party trademarks or logos.
- You represent and warrant that: (i) the Submission does not violate any applicable law, rule or regulation; (ii) to the extent the Submission depicts any individual or features the voice or other qualities of any individual, you are the individual pictured, heard, or otherwise featured in the Submission, or, alternatively, that you have obtained written permission from each person appearing in the Submission to grant the rights to Sponsor described in these Official Rules, and will make written copies of such permissions available to Sponsor upon request; (iii) the Submission complies with Sponsor website Terms of Service and policies; and (iv) the Submission complies with all requirements of these Official Rules.
- If submitting a Submission on behalf of your business, you represent that: (i) you have the authority to apply for the Program and that providing your Submission does not violate these Official Rules or any terms or policies of your employment; and (ii) you have the unencumbered authority to legally bind the business including to these Official Rules and to any other required documentation as contemplated in these Official Rules.
- Sponsor reserves the right at any time in its discretion, to disqualify any individual or business if Sponsor determines that allowing such individual or business to participate in (or continue to participate in) the Program could bring Sponsor into public disrepute or in any way impact the good standing or reputation of Sponsor in the eyes of the general public. Sponsor’s decisions on all matters arising in this regard will be final and binding without right of appeal.
Identity of Applicant
All Submissions must be submitted by the individual applicant or authorized representative of the business entity applicant. Bulk or automated Submissions will be disqualified (including Submissions made using any script, macro, bot, or promotional service). Multiple applicants are not permitted to share the same e-mail on different Submissions. Any attempt to submit additional Submissions through fraud or other illegitimate means will result in disqualification, at Sponsor’s discretion.
If there is a dispute about the identity of the applicant, Submissions will be declared made by the authorized account holder or the business entity represented by the authorized account holder of the e-mail address submitted or associated with the Submission. An “authorized account holder” means the natural person or business entity that is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential grant recipient may be required to provide Sponsor with proof that a potential grant recipient is the authorized account holder of the account associated with the winning Submission.
4. Selection and Notification of Grant Recipients
On or about August 16, 2024, a panel of judges selected at Sponsor’s discretion will score each Submission based on the following criteria (“Judging Criteria”) and notify the grant recipients:
Judging Criteria:
- Demonstration of business potential (e.g., history of professional experience, skills developments, and network) (50%);
- Demonstration of a compelling business story (e.g., impactful story on why the applicant started their consulting business) (30%); and
- Demonstration of business intention (e.g., explanation of how the applicant intends to use the grant and the impact it would make on their business goals) (20%).
The top ten scoring Submissions will be deemed the potential grant recipients. In the unlikely event of a tie, the grant recipients will be determined by the Submission’s score in the following criteria: the sophistication of the business’ digital presence (e.g., frequency of social media updates, completeness of business website, ease and convenience of inquiring about their service online etc.). The odds of receiving a grant depend on the number and quality of eligible Submissions received.
Sponsor will notify each potential grant recipient via e-mail on or about August 16. To claim a grant, the potential grant recipient must follow the instructions contained in the notification. To the fullest extent permitted by applicable law, Sponsor may require each potential grant recipient to sign and return, within seven days of being notified by Sponsor, an affidavit of eligibility, liability and publicity release, and other legal, regulatory or tax-related documents required at Sponsor’s discretion (“Affidavit and Related Documents”) in order to claim a grant. If (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) the Affidavit and Related Documents are not signed and returned within seven days of the date the notification e-mail is sent by Sponsor; or (iii) if potential grant recipient is otherwise unable to accept the grant as stated, the grant will be forfeited and will be awarded to an alternate grant recipient in accordance with the Judging Criteria. Only three alternate grant recipients will be selected for each grant, after which the remaining grant(s) will not be awarded. If, by reason of a print or other error, more grants are claimed than the number specified in these Official Rules, the grant(s) will be awarded to the person with the highest scoring Submission in accordance with the above selection process from among all valid claimants to award the grant(s) available. For clarity, if a business entity is selected, the business will be considered the grant recipient rather than any individual employed by or representing the business entity.
Verification of Potential Grant Recipient: EACH POTENTIAL GRANT RECIPIENT IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROGRAM. AN APPLICANT IS NOT A GRANT RECIPIENT UNLESS AND UNTIL APPLICANT’S ELIGIBILITY HAS BEEN VERIFIED AND APPLICANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.
5. Prize
Ten grant recipients will each receive the following grant package:
- A three year Premium HoneyBook subscription (Approximate retail value (“ARV”): USD $2,376). This is an annual subscription that automatically renews after three years at the then-current price (price subject to change) unless the applicant cancels through my Membership page;
- Systems set-up services with a HoneyBook Pro of up to USD $4,624 (services subject to availability);
- USD $18,000 (or the Canadian equivalent based on the exchange rate as of the end date of the Program Period) in direct deposit that you can invest in the area that will have the biggest impact on your business (e.g., new technology, office accessories, training, and branding, etc.).
Grant recipients will also receive access to select mentorship and community resources from Sponsor (e.g., a private community group for accountability and support) to facilitate camaraderie and connection (subject to availability).
ARV of each grant package: USD $25,000. Total ARV of all grants: USD $250,000.
Grant Restrictions: Grants are not transferable. No substitutions or exchanges of any grant component (including for cash) will be permitted, except that Sponsor reserves the right to provide a substitute of comparable or greater value for any grant component. Only the number of grants stated in these Official Rules are available to be awarded in the Program. LIMIT ONE GRANT PER PERSON. Sponsor will not replace any lost or stolen grant components. Except for applicable manufacturer’s standard warranties, the grants are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including any implied warranty of merchantability or fitness for a particular purpose). Some grant components may require acceptance of terms and conditions applicable to standard users in order to accept the grant. Any unclaimed or unused grant (or grant component) will remain the property of Sponsor.
ALL FEDERAL, STATE/PROVINCE/TERRITORY, AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY GRANT OR GRANT COMPONENT ARE THE SOLE RESPONSIBILITY OF THE GRANT RECIPIENT.
6. Disclaimer
Sponsor and any of Sponsor’s parent companies, subsidiaries, affiliates, professional advisors, consultants, contractors, legal counsel, public relations firms, advertising, fulfillment and marketing agencies, and any of their respective directors, officers, members, managers, and employees (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or Submissions; (b) phone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures; (c) any Program disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties; or (d) any printing or typographical errors in any materials associated with the Program.
7. General Release and Limitation of Liability:
By applying to the Program, you agree to release Sponsor and all Released Parties from any liability whatsoever and waive any and all causes of action, whether under a theory of contract, tort (including negligence), warranty or other theory, arising out of or in connection with the Program or delivery, misdelivery, acceptance, possession, use of or inability to use any grant (including claims for costs, losses, personal injuries, death, or damages of any kind, such as damage to or destruction of property or damages related to rights of publicity or privacy, moral rights, defamation or portrayal in a false light, whether intentional or unintentional).
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO YOUR PARTICIPATION IN THE PROGRAM OR USE OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE PROGRAM OR ANY GRANT, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE PROGRAM OR USE OF OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE PROGRAM OR ANY GRANT EXCEED $10. THE LIMITATIONS IN THIS SECTION WILL NOT EXCLUDE OR LIMIT LIABILITY FOR PERSONAL INJURY OR PROPERTY DAMAGE CAUSED BY PRODUCTS PURCHASED FROM THE SPONSOR, OR FOR THE RELEASED PARTIES’ GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR FOR FRAUD.
8. Use of Name, Likeness, etc.
To the fullest extent permitted by applicable law, your application to the Program constitutes permission to use your name, hometown, biographical data, aural and visual likeness and grant information for advertising, marketing, and promotional purposes without further permission or compensation (including in a public-facing grant recipient list). As a condition of being awarded any grant, except where prohibited by law, a grant recipient may be required to execute a written consent, confirming Sponsor’s right to use the grant recipient’s name, hometown, biographical data, aural and visual likeness and grant information for advertising, marketing, and promotional purposes without further permission or compensation. By applying to this Program, you consent to being contacted by Sponsor for any purpose in connection with this Program.
9. License to Submission
By applying to the Program and providing your Submission in connection with the Program, you hereby grant to Sponsor a perpetual, irrevocable, royalty-free, worldwide, nonexclusive license to publish, reproduce, display, perform, distribute, adapt, edit, modify, translate, create derivative works based upon, and otherwise use and sublicense your Submission, or any portion thereof (including your name and likeness as shown and conveyed in the Submission), in connection with the Program and for other advertising, marketing, and promotional purposes, and to incorporate Submissions, in whole or in part, into other works in any manner, form, media or technology now known or later developed. Sponsor will have no obligation to publish or use or retain any Submission you submit or to return any such Submission to you. You agree that it is your sole responsibility to obtain all permissions and releases necessary for the grant of the rights contained in this paragraph. You agree to take, at Sponsor’s expense, any further action (including execution of affidavits, tax forms, and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor’s rights as stated in this paragraph. You will not be entitled to compensation for any use by Sponsor, or its agents, licensees or assignees, of your Submission.

11. Grant Recipient List; Rules Request
For a copy of the grant recipient list, send a stamped, self-addressed, business-size envelope for arrival after August 23, 2024 and before August 23, 2025 to the address listed in Section 16 below, Attn: Breakthrough Grant Program. 13. Disputes
UNLESS OTHERWISE SPECIFIED IN TERMS OF SERVICE APPLICABLE TO A GRANT, YOU AGREE THAT ANY DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROGRAM OR ANY GRANT AWARDED WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY THE UNITED STATES DISTRICT COURT FOR THE NORTHERN DISTRICT OF CALIFORNIA OR THE APPROPRIATE STATE COURT LOCATED IN SAN FRANCISCO COUNTY, CALIFORNIA. THESE OFFICIAL RULES ARE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO CHOICE OF LAW OR CONFLICT OF LAWS RULES. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
14. General Conditions
By participating in the Program, you agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to modify, suspend or cancel the Program or any applicant’s participation in the Program should viruses, bugs, unauthorized human intervention, pandemics, public disruptions, or other causes beyond Sponsor’s reasonable control affect the administration, security or proper play of the Program, or Sponsor otherwise becomes (in its discretion) incapable of running the Program as planned. Applicants who violate these Official Rules, violate any law, rule, or regulation in connection with participation in the Program, tamper with the operation of the Program or engage in any conduct that is detrimental or unfair to Sponsor, the Program, or any other applicant (as determined in Sponsor’s discretion) are subject to disqualification from the Program. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to apply to the Program. Sponsor reserves the right to disqualify any Submissions received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.
